Terms of Service

These Terms of Service describe the basis on which One Week Design provides website content, project work, and related creative or digital services. By using this website or engaging us for services, you agree to these terms.
Who These Terms Apply To
When we refer to "you" or the "client," we mean both the person accepting these terms and any business or organisation they represent. When we refer to "we," "us," or "our," we mean One Week Design, operated by KiwiSprout Limited.
Proposals, Scope, and Project Changes
Proposals, estimates, and similar documents are prepared based on the information and instructions you provide. It is your responsibility to review them carefully before work begins and confirm they accurately reflect your requirements.
We will carry out work based on the latest approved scope or proposal. If you request changes after work has started, we may review timing, scope, and pricing before proceeding.
Unless otherwise stated, proposals lapse 30 days after they are issued.
Intellectual Property
Once all final invoices relating to a project have been paid, ownership of project-specific deliverables created for you transfers to you, excluding our pre-existing materials, reusable systems, processes, and any third-party tools or services.
We may reuse non-confidential know-how, systems, workflows, and general code patterns developed during a project. Third-party platforms, plugins, software, fonts, and services remain the property of their respective owners and may be subject to their own licence terms or ongoing fees.
Unless otherwise agreed in writing, we may reference completed project work in our portfolio, marketing, case studies, or internal documentation, provided confidential information is not disclosed.
Client Responsibilities
To keep a project moving, you agree to provide timely access, content, approvals, assets, and feedback. Delays in receiving these items may affect delivery dates and may require rescheduling.
Inactivity, Suspension, and Cancellation
If a project is delayed for more than 14 days because we are waiting on your instructions, access, content, or approvals, we may treat the project as inactive. Timing commitments may then be withdrawn, and the remaining work may need to be rescheduled based on our availability.
We may invoice for work completed to date before pausing an inactive project. If a project remains inactive for an extended period, we may re-quote the unfinished portion or require a new proposal before resuming work.
If you suspend or cancel a project, you remain responsible for payment for work completed, work in progress, and any approved third-party costs already incurred.
Warranty of Work
New websites and requested changes to existing websites include a 30-day workmanship warranty for the benefit of the client. During that period, you may notify us of errors or omissions you reasonably believe were caused by our work.
If a genuine workmanship issue is identified within that period, we will use reasonable efforts to correct it within an agreed timeframe.
This warranty generally covers:
- Content entered by us that is incomplete or inaccurate, where the source material provided to us was correct
- Styling that materially differs from approved designs or documented sign-off
- Defective functionality created by us within the agreed scope
This warranty does not cover:
- Anything outside the approved scope
- New work, additional requests, or changes requested after sign-off
- Issues caused by client edits or third-party providers
- Issues caused by unsupported browsers, devices, or platform changes outside our control
Except for the warranty described above, services are provided on an "as is" basis and we do not make any other express, implied, or statutory warranties.
Suitability and Performance
Unless explicitly agreed in writing, we do not guarantee that any service, design, website, or deliverable will meet a particular market requirement, business objective, or commercial result.
We may optimise work toward goals identified in a proposal, but we do not guarantee performance outcomes such as traffic, conversion, rankings, sales, or business growth, especially where external factors are involved.
Design Standards
Where design work is included, we will collaborate with you through feedback and refinement within the agreed scope. We may decline requested changes that materially conflict with our professional standards or the agreed design direction.
Pricing and Payment
Invoices are issued electronically unless we agree otherwise. Payment terms will be set out in your proposal, invoice, or service agreement.
If payment is overdue, we may pause work, withhold deliverables, or suspend related services until the account is brought up to date. We are not liable for loss arising from a pause or suspension caused by non-payment.
For ongoing or retained work, invoicing, rollover time, and any overage charges will be handled according to the specific arrangement agreed with you in writing.
Modern Platforms and Hosting
Websites and digital deliverables are built for current mainstream browsers, devices, and platforms at the time of development. We are not responsible for future changes in technology, platform policies, or third-party services that affect compatibility or performance after launch.
Unless otherwise agreed, third-party hosting, ecommerce, email, analytics, or app platforms are provided by external services. Their uptime, policies, pricing, and behaviour remain outside our control.
Events Outside Our Control
We are not liable for delay or failure to perform work where the cause is outside our reasonable control, including outages, third-party service failures, acts of government, natural events, or other force majeure-style circumstances.
Liability and Indemnity
To the extent permitted by law, you agree to indemnify us against third-party claims, costs, or liabilities arising from materials, instructions, content, or services you provide or request, except to the extent caused by our own fault.
To the extent permitted by law, our liability is limited to the amount paid by you for the relevant services giving rise to the claim. We are not liable for indirect, incidental, special, or consequential loss.
Changes To These Terms
We may update these Terms of Service from time to time. The latest version will be posted on this page with an updated "Last updated" date.
